Ingram Micro Holding Corporation (INGM) Announces IPO Pricing

Ingram Micro Holding Corporation (INGM) has announced the pricing of its initial public offering (IPO) of 18,600,000 shares of common stock at a price of $22.00 per share. The offering includes:

  • 11,600,000 shares offered by Ingram Micro.
  • 7,000,000 shares sold by existing stockholders as indicated in the registration statement.

Ingram Micro will not receive proceeds from shares sold by the selling stockholders. The shares are expected to begin trading on the New York Stock Exchange under the ticker symbol INGM on October 24, 2024, with an anticipated closing on October 25, 2024, pending customary conditions.

The company expects net proceeds of approximately $233.1 million after deducting underwriting discounts, commissions, and expenses, which will be used to repay a portion of outstanding borrowings under its term loan credit facility.

Additionally, selling stockholders have granted underwriters a 30-day option to purchase up to 2,790,000 additional shares to cover over-allotments. Ingram Micro will not benefit from any funds generated through this option exercise.

Morgan Stanley, Goldman Sachs & Co., and J.P. Morgan are serving as joint book-running managers and representatives of the underwriters. Other bookrunners include BofA Securities, Deutsche Bank Securities, Evercore ISI, Jefferies, and RBC Capital Markets, with various firms acting as co-managers.

A registration statement, including a prospectus about the common stock, was filed and declared effective by the U.S. Securities and Exchange Commission on October 23, 2024. The offering will be made solely through a prospectus, which can be obtained from the book-running managers mentioned above.
