Petrofac Shares Plunge Following Restructuring Announcement
Shares of Petrofac (LON:PFC) dropped over 11% on Monday after the announcement of a financial restructuring plan, indicating significant challenges for the company.
Analysts at Jefferies called the restructuring plan a source of “material dilution” for existing shareholders, raising concerns about the company's near-term recovery prospects.
The plan involves converting $772 million of existing debt into equity, issuing a large number of new shares, and securing at least $325 million in new funding.
However, Petrofac's future relies on the successful execution of this plan, which requires critical approvals from creditors and shareholders.
Jefferies highlighted that financial strains from the Thai Clean Fuels project are a key contributor to Petrofac’s troubles.
This project experienced cost overruns, resulting in losses within its Engineering and Construction division. The company has been engaged in lengthy negotiations with partners to recover incurred costs, further impacting its financial health.
The restructuring follows a year of strategic reviews and suggests that the challenges are more severe than previously expected.
The announcement underlines Petrofac’s precarious financial state and has unsettled investor confidence, especially with the threat of significant shareholder dilution.
Jefferies noted that existing shareholders could see their stakes slashed as the company plans to issue 97.5% of its new ordinary share capital through this restructuring process.
Additionally, Petrofac has not yet obtained full backing from all its bank lenders, creating further uncertainty in an already delicate situation.
