Septerna, Inc. Announces Pricing of Upsized IPO

Septerna, Inc. (Nasdaq: SEPN) today announced the pricing of its upsized initial public offering (IPO) of 16,000,000 shares of its common stock at a public offering price of $18.00 per share.

In addition, Septerna has granted the underwriters a 30-day option to purchase up to an additional 2,400,000 shares of its common stock at the public offering price, less underwriting discounts and commissions. All shares are being offered by Septerna, and the common stock is expected to begin trading on the Nasdaq Global Market on October 25, 2024, under the ticker symbol SEPN.

The gross proceeds from the offering are expected to be $288.0 million, before deducting underwriting discounts, commissions, and other offering expenses. The offering is expected to close on October 28, 2024, subject to customary closing conditions.

J.P. Morgan, TD Cowen, Cantor, and Wells Fargo Securities are acting as joint bookrunners for the offering.

A registration statement relating to the shares sold in the initial public offering has been filed with the Securities and Exchange Commission and was declared effective on October 24, 2024. The offering is being made only by means of a prospectus.
